Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Pipemetry ("Pipemetry", "we", "us") governing your access to and use of the Pipemetry marketing site and application (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
The service
Pipemetry provides sales-pipeline analytics and revenue forecasting based on opportunity data you connect from your CRM. Features available to you depend on your plan. We may add, change, or discontinue features over time; we will not materially reduce the core functionality of a paid plan during a paid term without notice.
Accounts
You must provide accurate account information and keep it current. You are responsible for safeguarding access to your account and for all activity under it, and for the actions of users you invite to your workspace. Workspace administrators control membership and roles. Notify us promptly of any unauthorized use at [email protected].
Your data and the license you grant us
As between you and Pipemetry, you retain all rights to the CRM and account data you connect or submit ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely to provide, secure, and improve the Service for you, and as described in our Privacy Policy. You represent that you have the rights and authorization (including from your CRM administrator) to connect the data you connect and that doing so does not violate any law or third-party right. We do not sell Customer Data and do not use it to train models for other customers.
Data you send out
You can direct the Service to send Customer Data to destinations you choose — outbound webhooks to a URL you register, signed spreadsheet export links (for tools such as Google Sheets or Excel), our read API, and public board-snapshot share links you publish. You direct those transfers and are responsible for the destinations and for everyone you give access to, including keeping any endpoint you register secure and revoking links you no longer intend to share. We deliver to your configured destinations on a best-effort basis and are not responsible for Customer Data once it leaves the Service at your instruction, or for the availability or security of a destination you control. Public share links are read-only, expire, and can be revoked; revoking a link stops future views, but anyone who opened or downloaded a snapshot while the link was live may still hold that copy.
Acceptable use
- Do not attempt to breach or test the security of the Service without authorization. Good-faith security research conducted in accordance with our responsible disclosure policy is authorized.
- Do not reverse engineer the Service for competitive purposes, or resell or sublicense it.
- Do not use the Service to store or process data you are not authorized to process, or in violation of applicable law.
- Do not interfere with or disrupt the integrity or performance of the Service.
- Do not share, publish, or embed API keys, signed export links, or board-snapshot share links with anyone you are not authorized to give access to.
API access and keys
Workspace administrators can create API keys ("pm_live_…") and signed export links to read their own data programmatically. An API key is a credential: keep it secret, do not embed it in client-side code or public repositories, and treat every request made with it as authorized by you. You are responsible for all activity under your keys and links, and should rotate or revoke any key you believe is exposed. We show a key's secret only once, at creation, and store only a one-way hash of it — we cannot recover it for you. The read API grants a limited, read-only license to your own forecast, opportunity, and accuracy data; it does not write back to your CRM. API access is rate-limited and scoped to your plan and to the permissions of the member who created the key. We may throttle, suspend, or revoke keys and links to protect the Service, and we may change limits with reasonable notice. Do not use the API or export links to circumvent rate limits, scrape at scale, reverse engineer the Service, or extract data you are not authorized to access. Data you retrieve remains Customer Data and stays subject to these Terms.
Plans, fees, and billing
Paid plans are billed in advance through our payment processor (see Subprocessors) on the cadence shown at purchase. Fees for self-serve plans are charged per seat (per active workspace member) at the rates shown on the pricing page; adding or removing members changes your seat count, and the updated quantity is reflected from your next invoice (mid-term changes are not prorated). Fees are exclusive of taxes, which you are responsible for. Subscriptions renew automatically for successive terms unless cancelled before the renewal date; you can cancel from your account at any time, and cancellation takes effect at the end of the current paid term. Except where required by law or expressly stated, fees are non-refundable. We may change pricing for a future term with prior notice.
We may offer a time-limited free trial of a paid plan (currently 14 days of Pro, with no payment card required). During a trial you get the trial plan's features at no charge. Because no card is required, nothing is charged automatically when a trial ends: at expiry your workspace moves to the free plan — some paid features become unavailable and paid-only data may become read-only — until you choose and purchase a paid plan. Trials are for evaluation, are generally limited to one per customer, and may be modified, shortened, or withdrawn, and eligibility determined, at our discretion.
Intellectual property
Pipemetry and its licensors own all rights in the Service, including its software, models, and content (excluding Customer Data). These Terms grant you no rights to our trademarks or branding. If you send us feedback, you grant us a perpetual, royalty-free license to use it to improve the Service.
Confidentiality
Each party may access the other's confidential information in connection with the Service and will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in a written agreement. Forecasts, confidence ranges, and analytics are model-based estimates for informational purposes only — they are not guarantees and not financial, investment, accounting, or legal advice. You are responsible for decisions you make using them.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Service. Each party's total liability arising out of or related to these Terms will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to a party's breach of its confidentiality or data-protection obligations.
Indemnification
You will defend and indemnify Pipemetry against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law, to the extent permitted by law.
Term, suspension, and termination
These Terms apply while you use the Service. We may suspend access if you materially breach these Terms, fail to pay, or pose a security risk, and will aim to give notice where practical. You may stop using the Service and close your workspace at any time. Following termination, we will make Customer Data available for export (including CSV export of your opportunity and forecast data) for at least 30 days, and then delete it as described in our Privacy Policy. While your account is suspended or downgraded, your Customer Data is retained and you can export it, though we do not guarantee a fixed window until termination. Provisions that by their nature should survive termination will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, and the parties submit to the courts located there, unless a mandatory law of your jurisdiction provides otherwise.
Changes to these terms
We may update these Terms as the Service evolves. We will revise the "last updated" date above and, for material changes, provide additional notice. Continued use after an update means you accept the revised Terms.
